AIVendorX Terms

These Terms of Use govern access to and use of AIVendorX, including the website, dashboard, AI Console, supplier management tools, purchase order workflows, invoice review, payment operations, analytics, billing features, mobile applications, and related services. By creating an account, signing in, or using AIVendorX, you agree to these terms.
1. Who May Use AIVendorX
You may use AIVendorX only if you can form a binding contract and are authorized to act for the business or organization whose workspace you access. If you use AIVendorX on behalf of a company, you represent that you have authority to bind that company to these terms.
2. Accounts and Workspace Responsibility
You are responsible for keeping account credentials secure, controlling who can access your workspace, and promptly removing users who should no longer have access. Activity performed through your account or organization may be treated as authorized unless you notify us of unauthorized use.
3. Platform Features
AIVendorX helps manage suppliers, products, purchase orders, invoices, payment review, subscription billing, analytics, activity history, and AI-assisted recommendations. Some features may be labeled as trial, demo, beta, preview, or test mode. Those features may change, be limited, or be unavailable from time to time.
4. AI Console and Recommendations
AI-assisted outputs may include daily briefs, suggested orders, invoice review signals, payment queue summaries, supplier insights, and draft workflow actions. AI outputs are not guarantees and may be incomplete, inaccurate, or require human review. You are responsible for reviewing AI-generated drafts, quantities, prices, supplier details, invoice data, payment status, and business decisions before taking action.
5. Your Data and Content
You retain ownership of supplier records, purchase orders, invoice images or text, payment metadata, business profile details, uploaded files, prompts, notes, and other content you submit to AIVendorX. You grant AIVendorX permission to host, process, transmit, analyze, display, and use that content as needed to provide, secure, maintain, improve, and support the services.
6. Payments, Billing, and Third-Party Services
Subscription billing, checkout, customer portal, payment method handling, and related payment services may be provided by Stripe or other payment providers. AIVendorX does not require you to enter card details directly into the dashboard unless a hosted payment provider flow is used. Supplier payment records shown in AIVendorX may be operational tracking data and may require review in the applicable payment provider, bank, or accounting system before funds move.
7. Acceptable Use
You may not misuse AIVendorX, attempt to bypass security controls, access another organization without permission, upload malicious content, interfere with the service, reverse engineer protected systems, use the service for unlawful activity, or submit content that infringes rights or violates applicable laws.
8. Confidentiality and Security
AIVendorX is designed for business operations and may contain sensitive supplier, pricing, invoice, payment, and account information. You are responsible for configuring roles, reviewing access, and using the platform in a way that protects confidential business data.
9. Intellectual Property
AIVendorX and its software, design, workflows, documentation, branding, and underlying technology are owned by AIVendorX or its licensors. These terms do not transfer any ownership rights in AIVendorX to you.
10. Disclaimers
AIVendorX is provided on an as-is and as-available basis to the maximum extent permitted by law. We do not promise that every recommendation, forecast, invoice extraction, supplier signal, payment status, or analytics result will be accurate, complete, or fit for a particular purpose.
11. Limitation of Liability
To the maximum extent permitted by law, AIVendorX will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, supplier disputes, payment delays, or procurement decisions made using the service.
12. Suspension and Termination
We may suspend or terminate access if you violate these terms, create security risk, fail to pay amounts due, misuse the service, or if continued access could harm AIVendorX, other customers, or third-party providers. You may stop using AIVendorX at any time.
13. Changes to These Terms
We may update these terms as the product, legal requirements, or business model changes. If changes are material, we will take reasonable steps to notify users through the website, dashboard, email, or other appropriate channels.
